1.1 What these terms cover. These are the terms and conditions on which we supply products to you.

These terms tell you who we are, how we will provide products to you, how you and we may change or end the agreement, what to do if there is a problem and other important information. By submitting an order to us, you agree to accept the terms set out below.

2.3 How we may contact you. If we have to contact you we will do so by telephone or by writing to you at the email address or postal address you provided to us in your order.
3.1 How we will accept your order. Our acceptance of your order will take place when we email you an order acknowledgement confirming the details of your order, at which point a contract will come into existence between you and us.
3.2 If we cannot accept your order. If we are unable to accept your order, we will inform you of this in writing or by telephone and will not charge you for the product. This might be because the product is out of stock, your payment card was not authorized, because of unexpected limits on our resources which we could not reasonably plan for, because we have identified an error in the price or description of the product or because these terms have not been complied with. If the product ordered is out of stock, you will have the option to receive a refund or wait for the product to ship once it is restocked.
3.3 We only sell to the United States of America and Canada. Our website is solely for the promotion of our products in the U.S and Canada. Unfortunately, we do not accept orders addressed outside the U.S. and CA. Shipments to Alaska, Hawaii, Virgin Islands and Guam are not available. Any shipments to locations other than in the United States and CA may be subject to import or export control laws or regulations, and you will be responsible for ensuring compliance with any rules applicable to use of the product outside the U.S. We do not ship to Virgin Islands, Guam, Alaska and Hawaii.3.4 No Resale. 4.1 Your rights to make changes. Please promptly contact us if you wish to make a change to your order. We will let you know if the change is possible. If it is possible we will let you know about any changes to the price of the product, the timing of supply or anything else which would be necessary as a result of your requested change and ask you to confirm whether you wish to go ahead with the change. If we cannot make the change or the consequences of making the change are unacceptable to you, you may be allowed to cancel your order.
4.2 Our rights to make changes. We may change the product to reflect changes in relevant laws and regulatory requirements. We will contact you if there are any material product changes prior to fulfilling your order.
5.1 Price. The price of the product will be the price indicated on the order pages when you placed your order.
5.2 Sales Tax. Sales Tax for the products will be shown on the Checkout Page as applicable to those products based on the billing address.

7.1 Order Cancellations. You may cancel your order prior to shipment by contacting us as listed above.
7.2 Order Returns. In addition to the warranty rights you may have under Section 9 below, you may return your product according to the product return information located on the packing slip included with your shipment. 8.1 We may cancel the order if you break these terms. We may cancel any order at any time upon notice to you that you have violated these terms or that we cannot deliver the products to you.

You must promptly notify us of any product damage or defect after receiving the product. This warranty is Vigo Industries and its exclusive warranty on the products.

9.3 Disclaimer of other warranties and limitation on liability. Vigo Industries. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Vigo Industries. DISCLAIMS ALL OTHER WARRANTIES AND ALL LIABILITY FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES WHICH YOU MAY INCUR IN CONNECTION WITH YOUR PURCHASE OR USE OF THE DEVICE, WHETHER OR NOT YOU HAVE ADVISED US OF THE POSSIBILITY OF SUCH LOSSES OR WHETHER OR NOT WE SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH LOSSES. Some jurisdictions do not allow limitations of how long an implied warranty lasts or the exclusion or limitation of such damages, so these limitations and exclusions may not apply to you. 11.1 Subcontracting. We may use third party providers to fulfill our obligations under this agreement, including order fulfillment and shipment delivery.
11.2 No Assignment. This agreement is between you and us. No other person shall have any rights to enforce any of its terms, except in respect of our guarantee. Neither of us will need to get the agreement of any other person in order to end the agreement or make any changes to these terms.
11.3 Governing Law and Venue. These terms and any orders placed on Vigo Industries.com are governed according to the laws of the State of New York, U.S.A., without reference to its conflicts of law principles. The exclusive venue for any judicial action dispute arising out of or relating to this Agreement will be the state courts located in New York, New York or the federal courts located in New York Tri State Area, and each party waives any challenge to venue or personal jurisdiction.
11.4 Force Majeure. Delays resulting from any cause outside the reasonable control of either Party, including without limitation acts of God, acts or requests of government or governmental agencies in their non-commercial capacity, riot or civil commotion, sabotage, accidents, fire, flood, explosion damage to plants or facilities, epidemics, typhoons, quarantine restrictions, or absence of normal means of communication or transportation (each, a “Force Majeure Event”) will extend the time of performance for the affected Party. Neither Party will be liable for any loss, damage, detention, or delay resulting from a Force Majeure Event.
11.5 Severability. Each part and Section of this Agreement is severable if held invalid or unenforceable by a court of competent jurisdiction. The remaining portions of this Agreement will not be affected and will be valid and enforceable. The Section and paragraph headings in this Agreement are for convenience only and will not affect the interpretation of this Agreement.
11.6 Waiver. Our failure to exercise or delay in exercising any right, remedy, power, or privilege arising from this Agreement will not be considered a waiver thereof, and no single or partial exercise of any right, remedy, power, or privilege hereunder will preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
11.7 Survival. Any Section of these Terms that, whether by implication or nature, are intended to survive will survive the expiration or termination of this Agreement
